During this period, Mr. Zabierek may receive compensation from Easterly and from Sugi for recommending certain investment products, and may recommend the purchase or sale of the same securities for Easterly and Sugi accounts. This relationship could be perceived as influencing Mr. Zabierek’s objectivity in recommending securities transactions for Easterly clients. To mitigate this potential conflict, all investment recommendations made by Mr. Zabierek to Sugi clients are subject to pre-approval by Easterly.
